US defence acquisition lands on Malta's competition radar

MCCAA opens 7-day objection window on Capitol Meridian Partners' acquisition of RH Aero Systems.

The Malta Competition and Consumer Affairs Authority has published a notification of a concentration that places a United States aerospace acquisition under local regulatory scrutiny.

Capitol Meridian Partners LP, a US investment firm focused on aerospace and defence, government services, and technology, is acquiring sole control of RH Aero Systems through two special purpose vehicles: Acme BidCo Inc and Acme Germany BidCo GmbH.

The filing was made on 24 June 2026, according to the MCCAA notice.

RH Aero Systems is an Original Equipment Manufacturer licensed provider of tooling and ground support equipment for the aerospace, defence and energy industries.

The deal structure means fund vehicles managed or advised by affiliates of Capitol Meridian Partners will indirectly hold sole control of the target.

The notification, issued under regulation 5(4) of the Control of Concentrations Regulations (Legal Notice 294 of 2002), triggers a seven-day window for objections.

Interested third parties can submit written representations to the Office for Competition at Mizzi House, Blata l-Bajda, or by email to competition@mccaa.org.mt.

For Malta's business community, the announcement underscores the reach of local competition law. Even a transaction between two US-based entities with no obvious Maltese presence can require clearance from the MCCAA if it may affect the local market.

Capitol Meridian's investment focus on aerospace and defence is relevant to Malta's own aerospace maintenance and services sector, though the notification does not specify any direct operations in Malta.

The outcome of the objection period will determine whether the transaction proceeds without further conditions or triggers a full investigation.
